These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Acva Investing Inc (“Company,” “we,” “us,” or “our”). By accessing, browsing, or otherwise using our website, platforms, or any services offered thereunder, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must discontinue use of our services immediately. We reserve the right to modify these Terms at any time; continued use following such modifications constitutes acceptance of the revised Terms.
“Services” shall mean all investment advisory, asset management, capital raising, and related financial or professional services provided by the Company, whether through its website, electronic means, or otherwise. All Services are furnished subject to the execution of a separate Client Agreement (where applicable) and in compliance with applicable federal, provincial, and local laws and regulations. Nothing herein shall be construed as a guarantee of any particular outcome. Past performance, whether actual or simulated, is not indicative of future results and should not be relied upon as such.
By using our Services, you represent and warrant that you are at least eighteen (18) years of age, have the legal capacity to enter into binding contracts in your jurisdiction, and that all information you provide to the Company is true, accurate, current, and complete. You agree to maintain and promptly update such information. The Company reserves the right, in its sole and absolute discretion, to refuse or discontinue service to any User at any time, with or without cause or notice, to the extent permitted by applicable law.
All investments carry inherent risk, including the risk of loss of principal. The content, materials, and information provided on or through our website and communications are for general informational and educational purposes only and do not constitute investment, legal, tax, or financial advice. No content shall be construed as an offer, solicitation, or recommendation to buy or sell any security or to engage in any particular investment strategy. To the maximum extent permitted by applicable law, the Company, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Services or these Terms, whether based in contract, tort, negligence, strict liability, or otherwise. In no event shall the aggregate liability of the Company exceed the greater of (a) the total fees paid by you to the Company in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (USD 100). You agree to indemnify, defend, and hold harmless the Company and its affiliates from and against any claims, damages, losses, and expenses arising from your breach of these Terms or your use of the Services.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, and you hereby irrevocably submit to the personal jurisdiction of such courts for the purpose of any such proceeding.
